Client Service Agreement
Command Cloud Tier Contract Template
This document requires legal counsel review before use with clients.
1. Services
ExecClone will provide Command Cloud services including:
- Complete Clawdbot AI deployment (hosted and managed)
- Multi-channel access (Telegram, Signal, SMS, Email)
- Full TrueMirror Profile™ personality encoding
- Persistent memory across sessions
- 90-day deep tuning + ongoing optimization
- Priority support with direct access
2. Pricing

Payment Terms
- Setup fee: Due upon agreement execution
- Monthly fees: Billed in advance on the 1st
- Late payments: 1.5% monthly interest after 15 days
- Accepted: Credit card, ACH, wire transfer
3. Term & Renewal
Initial Term: 6 or 12 months from activation date
Auto-Renewal: Automatically renews for successive 12-month terms
Non-Renewal Notice: 60 days written notice required
Reminder: ExecClone will send reminder 90 days before renewal
4. Early Termination
Early Termination Fee: 50% of remaining monthly fees for the contract term.
Example: 8 months remaining × $1,249 × 50% = $4,996 termination fee
Exceptions (No Fee)
- Material breach by ExecClone (uncured after 30 days notice)
- Termination for cause by ExecClone
5. Service Level Agreement

SLA Credits
- 99.0% - 99.5%: 10% credit
- 95.0% - 99.0%: 25% credit
- Below 95.0%: 50% credit
6. Client Responsibilities
- Provide training materials within 14 days of kickoff
- Participate in intake sessions as scheduled
- Respond to calibration requests within 48 hours
- Comply with acceptable use policies
- Maintain security of access credentials
7. Confidentiality
Both parties agree to maintain confidentiality of proprietary information. This obligation survives termination for 3 years.
8. Limitation of Liability
Total liability capped at fees paid in the 12 months preceding the claim. Neither party liable for indirect, incidental, or consequential damages.
9. Governing Law
State of Missouri. Disputes resolved through binding arbitration in Columbia, MO.
