End User License Agreement
For Command Cloud Deployments
This document requires legal counsel review before use.
1. License Grant
Subject to these terms, ExecClone grants you a limited, non-exclusive, non-transferable, revocable license to use the Command Cloud Software during your subscription term.
You MAY:
- Use the Software for your personal or internal business purposes
- Access via authorized channels (Telegram, Signal, SMS, Email)
- Request modifications through ExecClone support
You MAY NOT:
- Sublicense, sell, or transfer the Software
- Reverse engineer or decompile
- Remove proprietary notices
- Use for competing AI services
- Share access credentials
2. Prohibited Uses
🚫 Strictly Prohibited
- Deception & Fraud — Impersonating others to deceive, scam, or defraud
- Deepfakes — Creating deceptive audio/video content
- Harassment — Stalking, bullying, or threatening others
- Illegal Activity — Any violation of applicable law
- Malware — Generating malicious code or phishing content
- Spam — Mass unsolicited communications
- Child Safety — Any content involving minors inappropriately
- Violence — Inciting violence or terrorism
3. Intellectual Property
- ExecClone retains all IP rights in the Software
- TrueMirror Profile™ methodology is proprietary
- Your training data remains yours
- AI-generated outputs are yours to use within license terms
4. Termination
Termination by You
You may terminate at any time. Early termination fee: 50% of remaining contract value.
Termination by Us
We may terminate immediately for:
- Material breach of these terms
- Prohibited use violations
- Non-payment after cure period
- Illegal activity
Effect of Termination
- License immediately terminates
- Data retained for 30 days, then deleted
- You may request data export before deletion
5. Disclaimers
THE SOFTWARE IS PROVIDED "AS IS." EXECCLONE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.
6. Limitation of Liability
ExecClone's total liability shall not exceed fees paid in the 12 months preceding the claim.
7. Governing Law
State of Missouri. Disputes resolved through binding arbitration.
