End User License Agreement (EULA)

Effective Date: February 13, 2026

This End User License Agreement ("EULA") is a legal agreement between you ("User," "you," or "your") and ExecClone LLC ("ExecClone," "we," "us," or "our") governing your use of ExecClone's software, services, and platform.

By accessing or using ExecClone services, you agree to be bound by this EULA.

1. Grant of License

ExecClone LLC grants you a limited, non-exclusive, non-transferable, revocable license to access and use ExecClone services solely for your internal business purposes, subject to the terms and conditions of this EULA.

License Restrictions

This license does NOT grant you the right to:

Copy or reproduce ExecClone software or services, except as necessary for authorized use
Modify, adapt, or create derivative works based on ExecClone technology
Reverse engineer, decompile, or disassemble any part of ExecClone software or systems
Sublicense, sell, rent, lease, or redistribute ExecClone services to third parties
Remove, alter, or obscure any proprietary notices, trademarks, or copyright notices
Use ExecClone services to build a competitive product or service

2. Intellectual Property Ownership

All intellectual property rights in ExecClone services, including but not limited to software, algorithms, design, trademarks, logos, documentation, and content, are owned exclusively by ExecClone LLC.

You acknowledge and agree that:

ExecClone retains all right, title, and interest in and to its services
This EULA does not transfer any ownership rights to you
You acquire no rights except for the limited license expressly granted herein
Any feedback, suggestions, or ideas you provide to ExecClone become ExecClone's property

3. Restrictions on Use

Prohibited Activities

You may not use ExecClone services to:

Reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code or underlying algorithms
Circumvent or disable any security, access control, or usage restrictions
Interfere with or disrupt the integrity or performance of ExecClone systems
Access ExecClone services through automated means (e.g., bots, scrapers) without authorization
Transmit malware, viruses, or harmful code
Violate applicable laws or regulations

No Derivative Works

You may not create, develop, or distribute any derivative works, modifications, or enhancements based on ExecClone services.

4. No Sublicensing

You may not sublicense, sell, resell, rent, lease, or otherwise transfer your rights to use ExecClone services to any third party.

5. User Data and Content

Your Data

You retain ownership of your data, including email content, contact information, and automation workflows. By using ExecClone services, you grant us a limited license to access, process, and store your data solely to provide services as described in our Privacy Policy.

User Responsibility

You are solely responsible for:

The legality, accuracy, and appropriateness of your data and content
Ensuring your data does not infringe third-party rights
Compliance with applicable laws regarding data collection and use

6. Service Availability

ExecClone services are provided "as is" and "as available." We do not guarantee:

Uninterrupted or error-free service
Specific uptime percentages (unless specified in a separate SLA)
Compatibility with all third-party systems or integrations

We reserve the right to modify, suspend, or discontinue services (in whole or in part) at any time, with or without notice.

7. Updates and Modifications

ExecClone may, from time to time, provide updates, patches, or enhancements to its services. You agree to accept such updates, which may modify or replace existing features.

Continued use of ExecClone services after updates constitutes acceptance of such modifications.

8. Termination

Termination by ExecClone

ExecClone may terminate or suspend your license immediately, with or without notice, if you:

Violate any provision of this EULA, Terms of Service, or Acceptable Use Policy
Engage in fraudulent, abusive, or unlawful activity
Fail to pay applicable fees
Pose a risk to our systems, reputation, or other users

Termination by You

You may terminate this EULA at any time by discontinuing use of ExecClone services and deleting your account. Termination does not entitle you to a refund of prepaid fees.

Effect of Termination

Upon termination:

Your license to use ExecClone services immediately ceases
You must cease all use of ExecClone software and services
ExecClone may delete your data in accordance with our Privacy Policy
Provisions regarding intellectual property, liability, and indemnification survive termination

9. Disclaimer of Warranties

EXECCLONE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT.

We do not warrant that:

Services will meet your specific requirements or expectations
Services will be uninterrupted, secure, or error-free
Results obtained from services will be accurate or reliable
Defects will be corrected

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EXECCLONE LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES ARISING OUT OF OR RELATED TO THIS EULA OR YOUR USE OF EXECCLONE SERVICES.

EXECCLONE'S TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify, defend, and hold harmless ExecClone LLC, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to:

Your use or misuse of ExecClone services
Your violation of this EULA or applicable laws
Your infringement of third-party intellectual property rights
Content or data you transmit through ExecClone services

12. Export Compliance

You agree to comply with all applicable export and import laws and regulations. You represent and warrant that you are not located in, or a national of, any country subject to U.S. government embargo or designated as a "terrorist supporting" country.

13. Governing Law and Dispute Resolution

This EULA is governed by the laws of the State of Missouri, without regard to conflict of law principles. Any disputes shall be resolved exclusively in the state or federal courts located in Missouri.

14. Severability

If any provision of this EULA is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

15. Entire Agreement

This EULA, together with our Terms of Service, Privacy Policy, and Acceptable Use Policy, constitutes the entire agreement between you and ExecClone regarding your use of our services and supersedes all prior agreements.

16. Modifications to This EULA

ExecClone reserves the right to modify this EULA at any time. Changes will be posted on this page with an updated effective date. Continued use of ExecClone services after changes constitutes acceptance.
